General Terms and Conditions

1. Definitions

1.1 “Customer” refers to any individual or legal entity, including authorized representatives, placing an order with FoodTrailerClub for goods or services as specified in quotes, invoices, or other agreements.

1.2 “Contract” refers to these general terms and conditions, together with all supplementary quotes, orders, invoices, or documentation that form an integral part of the agreement.

1.3 “Deposit” means an advance payment of 40% of the total contract value unless otherwise agreed in writing.

1.4 “Final Payment” refers to the remaining balance, which must be paid in full prior to shipping and visible in the bank account of FoodTrailerClub.

1.5 “Force Majeure” refers to events beyond the reasonable control of FoodTrailerClub, such as natural disasters, war, pandemics, government restrictions, labor disputes, global supply chain disruptions, or other external circumstances.

1.6 “Electrical Equipment” includes all built-in devices such as refrigerators, ovens, or other installations supplied with the trailer, subject to the warranty of the original supplier or manufacturer.

1.7 “Non-Acceptable Defects” refers to deviations exceeding 10% in product dimensions, functional defects that do not meet the agreed specifications, or other issues significantly affecting the product’s usability.


2. Acceptance

2.1 By placing an order or accepting a delivery, the Customer acknowledges and accepts the full content of these general terms and conditions.

2.2 In case of any conflict between these terms and other documentation, these terms shall prevail unless otherwise agreed in writing.

2.3 All credit facilities are subject to approval and credit limits as determined by FoodTrailerClub.

2.4 If the Customer acts as an intermediary or agent, they remain fully liable for compliance with all terms, including payment obligations.


3. Payment Terms

3.1 Deposit:
The Customer shall pay a deposit of 40% of the total contract value unless otherwise agreed in writing.

3.2 Final Payment:
The remaining amount must be fully paid and visible in FoodTrailerClub’s bank account at least 7 business days prior to the agreed delivery date.
Delivery will only proceed after full payment has been received.
Checks or other non-direct payment methods will only be considered valid after full processing and clearance.

3.3 No Delivery Without Payment:
If full payment is not received on time, FoodTrailerClub reserves the right to suspend delivery until payment is made.


4. Delivery and Acceptance

4.1 The Customer must inspect the goods upon delivery and immediately report any defects in writing. Claims not reported on-site will not be accepted as valid.

4.3 Handcrafted Products:
Goods are handmade, and minor aesthetic deviations or variations in finish are not considered defects.

4.4 Storage Fees:
If goods are not collected within 30 days of the agreed delivery date, a storage fee of €5 per day will be charged, up to a maximum of €1,500.
For delays exceeding 90 days, FoodTrailerClub reserves the right to reassign the goods without further compensation to the Customer.


5. Warranty Terms

5.1 Built-in Electrical Equipment:
Built-in electrical appliances supplied by FoodTrailerClub are covered by a replacement warranty during the warranty period. Repairs are only offered if agreed in writing.

5.2 Third-Party Equipment:
For equipment purchased by the Customer and installed by FoodTrailerClub, the original supplier’s warranty terms apply.

5.3 Limitations:
Warranty claims do not cover damage caused by improper use, wear and tear, or failure to comply with maintenance or usage instructions.


6. Customization and Liability

6.1 Customer Responsibility:
The Customer is responsible for providing accurate and complete specifications for customizations.

6.2 Tolerances:
Dimensional deviations up to 10% are considered acceptable and not grounds for rejection.
For larger deviations, FoodTrailerClub will rectify or replace the goods if reported within 14 days of delivery.

6.3 No Liability for Aesthetic Deviations:
Minor aesthetic differences (e.g., in color, texture, or finish) are not considered defects.


7. Force Majeure

7.1 FoodTrailerClub is not liable for delays or failures to perform the contract due to force majeure events.

7.2 If a force majeure situation persists for more than 30 business days, the contract may be terminated by either party without further liability, except for costs already incurred.


8. Limitation of Liability

8.1 FoodTrailerClub is only liable for direct damages, up to the total contract value.

8.2 FoodTrailerClub is not liable for indirect damages, loss of profits, or consequential damages.


9. Dispute Resolution

9.1 This agreement is governed by the laws of Belgium and applicable EU regulations for cross-border trade.

9.2 Disputes should preferably be resolved amicably. If necessary, disputes will be submitted to the competent court in Brussels.

This agreement has been translated into multiple languages (e.g., Dutch, French, German, and English). In case of disputes or discrepancies between translations, the English version shall prevail as the legally binding document.
